Terms of Service

WELCOME TO PI LINK

We (PI Link, LLC.) hope you find it useful. By accessing or otherwise interacting with our servers, services, websites, mobile app (“App”), or any associated content/postings (together, “PIL”), you agree to these Terms of Service (“TOS”) (last updated May 22, 2024). You acknowledge and agree that PIL is a private app owned and operated by PI LINK, LLC. If you are accessing or using PIL on behalf of a business, you represent and warrant to PIL that you have the authority to accept the TOS on behalf of that business and that the business agrees to the TOS. If you do not agree to the TOS, you are not authorized to use PIL or download the App. We may modify the TOS at any time in our sole discretion. You are responsible for periodically checking for changes and are bound by them if you continue to use PIL. Our privacy policy (https://pilink.tech/privacy-policy/), and all other policies, site rules, and agreements referenced below or on PIL, are fully incorporated into this TOS, and you agree to them as well.

DEFINITIONS

  • PIL: The services, websites, mobile app, and any associated content/postings provided by PI Link, LLC.
  • Prohibited Content: Any content that is misleading, inaccurate, untruthful, unsolicited, unlawful, racist, offensive, or discriminatory in nature.
  • API: Application Programming Interface provided by PI Link, LLC.

LICENSE

If you agree to the TOS and:

  1. Are of sufficient age and capacity to use PIL and be bound by the TOS, or
  2. Use PIL on behalf of a business, thereby binding that business to the TOS,

we grant you a limited, revocable, non-exclusive, non-assignable license to use PIL in compliance with the TOS; unlicensed use is unauthorized. You agree not to:

  • Display, “frame,” make derivative works, distribute, license, or sell content from PIL, excluding postings you create.
  • Grant us a perpetual, irrevocable, unlimited, worldwide, fully paid/sublicensable license to use, copy, display, distribute, and make derivative works from content you post.

USE

Unless licensed by us in a separate written or electronic agreement, you agree not to:

  • Use or provide software (except our App and general purpose web browsers and email clients) or services that interact or interoperate with PIL.
  • Copy/collect PIL content via robots, spiders, scripts, scrapers, crawlers, or any automated or manual equivalent.
  • Mislead, provide inaccurate information, or post unsolicited, unlawful communications/accounts.
  • Buy or sell accounts, abuse PIL’s flagging or reporting processes, or collect PIL user information.

You agree we may moderate PIL access/use in our sole discretion for the safety of our users by:

  • Blocking, filtering, re-categorizing, re-ranking, deleting, delaying, holding, omitting, verifying, or terminating your access/license/account.

You agree not to:

  • Bypass said moderation.
  • Use PIL or the API in any manner that infringes, misappropriates, or violates any intellectual property right or applicable law.

LIQUIDATED DAMAGES

If you violate the TOS, you will be jointly and severally liable to us for liquidated damages as follows:

  • Collecting/harvesting PIL users’ information: $1 per violation.
  • Publishing/misusing personal or identifying information of a third party: $1,000 per violation.
  • Misrepresenting your identity or affiliation: $1,000 per violation.
  • Posting Prohibited Content: $1,000 per violation.
  • Posting Prohibited Content in any paid section of PIL: the price per post applicable to that section of PIL.
  • Sending unauthorized/unsolicited email: $1,000 per violation.
  • Using PIL user information to make/send unauthorized/unsolicited text message, call, or communication: $1,000 per text/call/communication.
  • Creating a misleading or unlawful PIL account or buying/selling a PIL account: $1,000 per violation.
  • Abusing PIL’s flagging or reporting processes: $1,000 per violation.
  • Distributing software to facilitate violations of the USE Section: $1,000 per violation.
  • Aggregating, displaying, framing, copying, duplicating, reproducing, making derivative works from, distributing, licensing, selling, or exploiting PIL content without our consent: $3,000 per day of violation.
  • Requesting, viewing, or accessing more than 100,000 records of PIL in any 24-hour period: $0.25 per 50 records during the 24-hour period after the first 100,000 records.
  • Bypassing or attempting to bypass our moderation efforts: $1,000 per violation.

You agree that these amounts are:

  1. A reasonable estimate of our damages.
  2. Not a penalty.
  3. Not limiting our ability to recover under any legal theory, including statutory damages and other equitable relief.

DISCLAIMER & LIABILITY

To the full extent permitted by law, PI LINK, LLC., and its officers, directors, employees, agents, licensors, affiliates, and successors in interest (“PIL Entities”):

  1. Make no promises, warranties, or representations as to PIL.
  2. Provide PIL on an “AS IS” and “AS AVAILABLE” basis.
  3. Disclaim all warranties, express or implied.
  4. Disclaim any liability for acts, omissions, or conduct of you or any party in connection with PIL.

PIL Entities are NOT liable for any direct, indirect, consequential, incidental, special, punitive, or other losses, and in no event shall such liability exceed $100 or the amount you paid us in the year preceding such loss.

CLAIMS & INDEMNITY

Any claim, cause of action, demand, or dispute arising from or related to PIL (“Claims”) will be governed by the internal laws of Pennsylvania, without regard to conflict of law provisions. Any Claims will be exclusively resolved by courts in Pennsylvania. You agree to:

  1. Submit to the personal jurisdiction of courts in Pennsylvania.
  2. Indemnify and hold PIL Entities harmless from any Claims, losses, liability, or expenses (including attorneys’ fees) that arise from a third party and relate to your use of PIL.

MISCELLANEOUS

Unless you have entered into a separate written or electronic agreement with us that expressly references the TOS, this is the exclusive and entire agreement between us and you. Users complying with prior written licenses may access PIL until authorization is terminated. Our actions or silence do not waive, modify, or limit the TOS or our ability to enforce it. The USE, LIQUIDATED DAMAGES, and CLAIMS & INDEMNITY sections survive termination of the TOS. If a TOS term is unenforceable, it shall be limited to the least extent possible and supplemented with a valid provision that best embodies the intent of the parties. The English version of the TOS controls over any translations. If you reasonably believe content infringes your IP rights, contact us at support@pilink.tech.

TERMINATION

You can end your contract by ceasing to use the PI LINK application or website. If you have an existing account and would like us to remove it, please contact us at support@pilink.tech.
